END-USER LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY
This License Agreement is a legal agreement between you and Ultimate Net Tools for Auto Close Idle ("SOFTWARE PRODUCT"). Unless you have a different written license agreement signed by Ultimate Net Tools, by installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this License Agreement. If you do not agree to the terms of this License Agreement, do not install, copy, or use the SOFTWARE PRODUCT.

SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

SOFTWARE PRODUCT is licensed under the following conditions:

• All rights to SOFTWARE PRODUCT belong to Ultimate Net Tools.
• You may not rent, lease, or lend SOFTWARE PRODUCT.
• You may install the client part of SOFTWARE PRODUCT on unlimited number of computers on your organization, however, SOFTWARE PRODUCT will limit the number of clients to what you purchased. For the purpose of this license, each Remote Desktop session, also known as Terminal Services/Fast User Switching/Remote Assistance user is treated as a separate client.
• Installation of the SERVER part(Auto Close Idle Server) of SOFTWARE PRODUCT is limited to one installation per license, except the Enterprise edition, which allows unlimited SERVER part installation per license.
• You may not use the software beyond the evaluation period without registering the software with Ultimate Net Tools.
• All communications with Ultimate Net Tools must be in English only, including any technical support assistance.

ACTIVATION
SOFTWARE PRODUCT may require you to take certain steps to activate SOFTWARE PRODUCT or validate your subscription. Failure to activate or register SOFTWARE PRODUCT, validate the subscription, or a determination by us of fraudulent or unauthorized use of SOFTWARE PRODUCT may result in reduced functionality, inoperability of the Software, or a termination or suspension of the subscription.

DATA

• Collect and Use of Data: We may collect and use technical information gathered as part of maintenance, and support, such as operating system version, SOFTWARE PRODUCT version and settings, excluding login information, only for the purpose of improving our products and services.
• Non-Disclosure: We will not disclose any of this information in a form that personally identifies you.   

   
LIMITED WARRANTY
ULTIMATE NET TOOLS DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS WHICH VARY FROM JURISDICTION TO JURISDICTION. ULTIMATE NET TOOLS DOES NOT WARRANT THAT THE OPERATION OF SOFTWARE PRODUCT WILL MEET LICENSEE'S SPECIFIC REQUIREMENTS.

LIMITATION OF LIABILITY
In no event shall Ultimate Net Tools be liable for any damages (including, without limitation, damages for loss of business profits, business interruption, loss of data, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Ultimate Net Tools has been advised of the possibility of such damages. Some jurisdictions prohibit the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

OTHER RESTRICTIONS
You may not modify, reverse engineer, decompile or disassemble SOFTWARE PRODUCT.

EXPORT RESTRICTIONS
You acknowledge that SOFTWARE PRODUCT is of U.S. origin and subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to SOFTWARE PRODUCT, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

TERMINATION
This Agreement shall terminate automatically if you fail to comply with the limitations described in this Agreement. Upon termination of this License Agreement, you must uninstall all copies of SOFTWARE PRODUCT.

SEVERABILITY
In the event any provision of this License Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired and a valid, legal and enforceable provision of similar intent and economic impact shall be substituted therefore.

GOVERNMENT RESTRICTED RIGHTS
The Software and any documentation are commercial items, as that term is defined in 48 CFR 2.101, consisting of commercial computer software and commercial computer software documentation, as those terms are used in 48 CFR 12.212. If the Software or any documentation is acquired by or on behalf of the U.S. government or by a U.S. government contractor (including without limitation prime contractors and subcontractors at any tier), then in accordance with 48 CFR 227.7202-4 (for Department of Defense licenses only) and 48 CFR 12.212 (for licenses with all federal government agencies), the government’s rights to the Software and such documentation are limited to the commercial rights specifically granted in this Agreement, as restricted by this Agreement. The rights limited by the preceding sentence include, without limitation, any rights to reproduce, modify, perform, display, disclose, release, or otherwise use the Software or documentation. This Section does not grant Customer any rights not specifically set forth in this Agreement.
